Article 1: Subject and Purpose of the Agreement
This Charging Station Network Terms and Conditions Agreement ("Agreement") is made to enable members ("Members") and Prepaid Card Users to use the charging stations operated by SOLARIS ("Company") for electric vehicle charging. This Agreement sets forth the terms and conditions governing the rights and obligations of the Parties.
The Company and the Member may be referred to individually as a "Party" and collectively as the "Parties."
Article 2: Effect and Membership of the Agreement
- Effectiveness of Agreement: This Agreement becomes effective upon the Member providing the required information (if applicable), reading, and accepting the terms and conditions herein.
- Eligibility: To be eligible for membership, individuals must be of legal age. Legal entity Members must designate authorized representatives to bind the entity to this Agreement.
- Membership Activation: Upon verification of eligibility and the absence of any impediments to membership, the Company will promptly create a membership account for the Member to access the charging station network.
- Transition for Existing Members: Existing memberships were voided on 01/02/2025 and the $10 USD monthly membership fee will be available to subscribe to on the application, website and at all SOLARIS charging stations. Existing Members who paid the $5 USD yearly fee in 2024 and hold active memberships will receive a full refund upon subscribing to the new membership.
Article 3: General Provisions Regarding the Service
- Updates to Agreement: The Company reserves the right to amend this Agreement. Updates will be published on the Company’s website and/or mobile application. Continued use of services constitutes acceptance of such updates.
- Service Information: Users can view charging station locations, operational details, pricing, and usage history via the Company’s website or mobile application. While the Company endeavors to provide accurate and current information, such details are subject to change without notice, and the Company shall not be liable for any discrepancies.
- Liability: The Company shall not be liable for any damages, whether direct or indirect, caused to the Member or to the Member’s vehicle, nor for damages arising from the Member’s misuse of the services or from any force majeure events.
- Force Majeure: The Company is not responsible for delays or non-performance caused by events beyond its reasonable control, including but not limited to natural disasters, wars, strikes, infrastructure failures, and cyberattacks.
Article 4: Special Provisions Regarding the Service
- Member Responsibilities:
- Members must provide accurate and up-to-date information at all times to ensure continuity of service. Failure to do so may result in membership suspension or termination.
- Memberships issued by the Company are non-transferable and must be used exclusively by the Member.
- Members must update the Company immediately regarding changes to their vehicle information.
- Permitted Use: Members may only use charging stations for lawful vehicle charging. Commercial use or other unauthorized purposes are strictly prohibited and may result in membership termination and liability for damages.
- Service Fees and Pricing: The Company retains discretion over service fees, promotions, and pricing conditions, which may vary by location, time, and usage. Members are responsible for checking the applicable fees before using the services.
- Account Security:
- Members are responsible for maintaining the confidentiality of their account credentials and Membership Card.
- In the event of loss or theft, the Member must notify the Company immediately. A 15-day audit will follow, and any remaining balance, minus a 20% administrative fee, will be transferred to a new account or Membership Card.
Article 5: Payment Provisions
- Membership Renewal: Membership renews automatically on the first day of each month, provided sufficient funds are available. If funds are insufficient and the last charge was a membership fee, the account will be frozen and a negative balance will be applied. Service will resume once all outstanding balances have been cleared. Where a Member reactivates their account by adding funds after a period of suspension, no membership fee shall be applied for the months during which the account remained frozen, nor for the month of reactivation. The next membership fee shall be applied on the first day of the following month.
- Payment Methods: Payments may be made via credit card, cash, or any method offered by SOLARIS at designated recharge points. Members must ensure the accuracy of their payment and contact information.
- Refunds: Refund requests are subject to a 15-day review process. Any approved refund will be issued after a deduction of a 20% administrative fee.
Article 6: Privacy and Protection of Personal Data
- Data Usage: Member information collected during membership application and service use will be used to fulfill this Agreement and comply with legal obligations.
- Confidentiality: Account credentials are personal and must not be shared. Members are liable for damages resulting from unauthorized use of their credentials.
- Data Protection: The Company implements robust security measures to protect personal data. Members are responsible for notifying the Company of any unauthorized access to their accounts.
Article 7: Termination of the Agreement
- Termination by the Company: The Company may suspend or terminate membership if the Member violates the terms of this Agreement. In such cases, the Member must settle any outstanding balances and compensate the Company for resulting damages.
- Member Liability: Upon termination, Members remain liable for any obligations incurred prior to termination, including unpaid fees and damages arising from Agreement breaches.
Article 8: Acceptance and Acknowledgment
By enrolling in the SOLARIS membership program, Members acknowledge that they have read, understood, and agreed to the terms and conditions of this Agreement.
Article 9: Prepaid Charging Card Terms and Conditions
- Purpose: Prepaid Charging Cards are one-time-use products that allow Users to charge their vehicle up to a predefined energy amount (in kilowatt-hours) at SOLARIS charging stations without requiring membership.
- Purchase and Activation: Prepaid Cards may be purchased through the SOLARIS mobile application or at charging stations. Cards are activated at the time of purchase and are immediately ready for use.
- One-Time Use and Expiration: Each Prepaid Card is valid for a single charging session up to the kWh amount indicated at time of purchase. Cards expire 12 months from the date of purchase. Expired cards are non-refundable and cannot be reactivated.
- Non-Transferable and Non-Reloadable: Prepaid Cards are not linked to user accounts, are not rechargeable, and hold no cash value. They may not be resold or used for commercial purposes without prior written consent from the Company.
- Fees and Pricing: The price of each Prepaid Card may vary based on energy limits and station conditions. Users are responsible for verifying available energy and pricing before use.
- Liability and Service Availability: The Company is not responsible for lost, stolen, or damaged Prepaid Cards. Charging station availability may vary. The Company is not liable for service interruptions caused by maintenance, force majeure, or technical failures.
- Privacy: No personal data is required to purchase or use a Prepaid Card. However, Users may optionally register their card on the Company’s mobile application to view balance or request support. Any personal information voluntarily provided will be handled in accordance with the Company’s Privacy Policy.
- Updates to Prepaid Terms: The Company may update the Prepaid Card terms at any time. The latest version will be available on the Company’s website and mobile application.
